CODE OF CONDUCT FOR SUPPLIERS
Supplier Code of Conduct
Antunes expects to do business with suppliers that meet our standards and behave consistent with, and positively reflect, Antunes values throughout its global supply chain. These values are reflected in this Supplier Code of Conduct, which establishes the minimum standards that must be met by any Supplier that sells goods or does business with Antunes.
HUMAN RIGHTS: We expect our suppliers to conduct their activities in a manner that respects human rights, as set out in The United Nations Universal Declaration of Human Rights. In addition, suppliers shall uphold the following labor practices:
FREEDOM OF ASSOCIATION: Suppliers shall respect the rights of workers to associate or not to associate with any group, as permitted by and in accordance with all applicable laws and regulations.
EMPLOYMENT STATUS: Suppliers shall employ workers who are legally authorized to work in their location and facility. Suppliers are responsible for validating employees’ identity, worker status, and eligibility through appropriate documentation.
EMPLOYMENT PRACTICES: Suppliers shall not use any form of slave, forced, bonded, indentured, or involuntary prison labor. They shall not engage in human trafficking or exploitation, or import goods tainted by slavery or human trafficking. They shall not retain employees’ government-issued identification, passports or work permits as a condition of employment.
ANTI-DISCRIMINATION AND FAIR TREATMENT: Suppliers shall promote and maintain a workplace free from discrimination and treat their employees with fairness, dignity, and respect. No form of physical, sexual, psychological, or verbal harassment or abuse shall be tolerated.
WORKING HOURS AND REST DAYS: Suppliers will comply with applicable laws regulating work hours, wages, and benefits. Employees must be paid in a timely fashion that meets or exceeds legal minimum standards. If necessary for a Supplier to use a labor broker, the Supplier will ensure the broker employs ethical recruitment practices, complies with applicable laws, and does not withhold identity documents.
UNDERAGE LABOR: Suppliers will not use child labor. Antunes has a zero-tolerance policy regarding the employment of children where the age of employment is not in accordance with applicable laws, or, in the absence of law, under the minimum age for completing required education.
WORKPLACE ENVIRONMENT: Suppliers will provide clean, healthy, and safe environments for their employees that meet or exceed legal standards. Supplier will have safety procedures for their employees and tracking tools that drive to a goal of zero workplace safety incidents. Supplier employees will have the right to refuse work and report any conditions that do not meet these criteria. Suppliers shall provide workers adequate and appropriate personal protective equipment to protect workers against hazards typically encountered in the scope of work.
ENVIRONMENTAL MANAGEMENT: Suppliers are responsible for managing, measuring, and minimizing the environmental impact of their facilities. Specific focus areas should include air emissions, waste reduction, recovery and management, water use and disposal, and greenhouse gas emissions. Suppliers must strive to reduce their environmental impact and increase efficiency throughout their companies by taking reasonable measures to reduce their carbon footprint, energy use, water use, wastes, and other emissions. Over time, Antunes expects the Supplier will establish targets and be transparent in their progress toward their targets to drive improvement.
BUSINESS INTEGRITY COMPLIANCE WITH LAW: Suppliers’ business activities shall comply with applicable laws and regulations in the countries and jurisdictions in which they operate. Suppliers are responsible for knowing the laws that apply to them and their facility. This Code applies to activities in the locations where suppliers’ goods are produced, where any related services are performed, and where the goods enter the supply chain.
ANTI-BRIBERY: Suppliers will not tolerate corruption, bribery, embezzlement, or fraud in any form. This includes giving or receiving anything of value, including money, gifts, entertainment, hospitality, or unlawful incentives to improperly influence negotiations or any other dealings.
CONFIDENTIALITY: Suppliers shall safeguard Antunes’ information, including but not limited to physical property, intellectual property, confidential information, data, or any proprietary or non-public information that the supplier acquires. Suppliers shall keep Antunes’ information secure, limiting access, and avoiding discussing or revealing such information in public places. These requirements extend even after the conclusion of a supplier’s business relationship.
AUDITS: Antunes reserves the right to audit compliance with this code. Audits could be facility visits, video conference, interviews, or surveys. All violations of the code are expected to provide prompt corrective actions or result in a change in business relationship with Antunes.
If Supplier identifies any areas in its operations (including the operations of its affiliates and suppliers) that do not conform to this Code, Supplier shall report such non-compliance to Antunes and immediately implement necessary improvements to achieve compliance with this Code.
GRIEVANCE MECHANISM AND WHISTLEBLOWER PROTECTION: Suppliers will provide an adequate grievance mechanism for their employees to report workplace concerns including but not limited to integrity concerns, harassment, discrimination, safety issues and misconduct without fear of retaliation. Supplier will also appropriately investigate reports and take corrective action, if needed. Supplier shall protect worker whistleblower confidentiality and prohibit retaliation.
ADDITIONAL STANDARDS: In addition to complying with this Code, suppliers (including but not limited to employees, personnel, agents, and subcontractors) are responsible for complying with the Antunes Supplier handbook and Terms and Conditions.
